Terms of Service

Services provided by Leap Day Data LLC (“Leapday”) are subject to the following Terms of Service, which may be changed by us without any prior notice. Your use of the Leapday website, software, emails, content, and information (“Leapday Services”) constitutes your acceptance of the terms and conditions of use, as modified. If you do not understand and/or wish to accept the terms and conditions of use contained herein, do not use the Leapday Services.

INTRODUCTION

The Leapday Services use mathematical models to predict short-term moves in stock prices. The Leapday Services may be delivered via our website, software, email, or third-party platforms, software, and websites.

PERSONAL USE

By subscribing to the Leapday Services you receive a personal license to use the copyrighted material for personal limited use for the duration of your subscription.

You agree that you shall not reproduce, use, block, overwrite, copy, distribute or monitor any content of the Leapday Services by using any robot, spider, search engine or any other automatic mechanism.

The Leapday Services are for personal use only. As we take rights seriously, we are determined to prosecute anyone who shares the Leapday Services with anyone else, publishes or otherwise distributes the Leapday Services using any media including verbal communications, electronic, video or print media.

RENEWAL AND CANCELLATION

You can sign up for one or several subscription programs available on our website.

A program can be renewable on a monthly basis, quarterly basis, or annual basis. Your credit card will be charged at the time of purchase with the amount that corresponds to the chosen subscription program(s). Your subscription program begins when your credit card account is successfully charged and will renew automatically until you cancel your subscription. Note that subscription fees may change at the end of your subscription period. You may cancel your subscription at any time by sending an email to alerts@leapday.io (OR cancel via website). Your subscription then terminates when the period for which you have paid ends. Subscriptions will not be refunded unless required by law.

If we are offering a free trial, a credit card may not be required and we may not automatically enroll you into one of our programs at the end of the free trial. However, access to the Leapday Services will end at the conclusion of the trial period, unless extended by us, and you must subscribe to a paid plan to continue receiving the Leapday Services.

You agree that Leapday may at its sole discretion and without prior notice, suspend or terminate the Leapday Services (or its function) to you personally or all subscribers.

COPYRIGHT

The Leapday Services, both past and future, including comments, commentaries, opinions, and all contents are owned by their respective owners and are protected by international copyright laws and international treaty provisions. The Leapday Services are for your exclusive personal use and cannot be reproduced or distributed in any manner.

MODIFICATION AND ACCEPTANCE OF TERMS OF SERVICE

Accessing or using the Leapday Services shall constitute the acceptance of the then published terms of use of Leapday. If you don’t agree to our terms of use, you should NOT access or use the Leapday Services. It is the user's responsibility to regularly review the valid terms. If any modification to the terms is unacceptable to you, your only choice is to terminate your usage of the Leapday Services. These terms of use can be altered without prior notice.

Leapday is a publisher. The Leapday Services included herein are for informational purposes and are not an offer or solicitation for the purchase or sale of any security, nor are they to be construed as legal or tax advice. References to securities and strategies are for illustrative purposes only and do not constitute buy or sell recommendations. The information provided by the Leapday Services should not be used as the basis for any investment decisions. We may or may not purchase or sell any of the financial instruments cited herein.

BACKTEST DISCLOSURE

The performance shown on Leapday Services, on our website and papers and other reports published by Leapday, and presented by third parties promoting the Leapday Services reflects the simulated model performance an investor may have obtained had it invested in the manner shown but does not represent performance that any investor actually attained. This performance is provided solely for informational purposes.

Hypothetical performance has many significant limitations and may not reflect the impact of material economic and market factors if funds were actually managed in the manner shown including but not limited to trading commissions, impact on stock price, stock liquidity, trading account size, and margin availability. Actual performance may differ substantially from simulated model performance. Simulated performance may be prepared with the benefit of hindsight and changes in methodology may have a material impact on the simulated returns presented.

JURISDICTION

This Agreement shall be deemed to have been made between you and Leap Day Data LLC. This agreement shall be governed and executed according to the state law of Illinois. The parties agree to the exclusive jurisdiction of the courts of the State of Illinois for any dispute arising out of or relating to this agreement.

LIMITATIONS OF LIABILITIES & WARRANTY DISCLAIMERS

Leapday will not be liable for direct, indirect or accidental damages whatsoever due to anyone using the Leapday Services, including investment or trading losses, loss of database files, and any results of "intents of harm" to the program or our website. Leapday does not make any expressed or implied warranties with respect to products sold or obtained from this website. The decision to use the Leapday Services is yours only. Leapday shall not be liable for any errors or delays in the information, data, content, quotes, transactions, and/or other material contained in, gathered by, used in, relied upon, and/or presented by Leapday.

THE LEAPDAY SERVICES ARE PROVIDED ON AN "AS IS" BASIS. LEAPDAY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE INFORMATION OR SERVICE, IN NO EVENT WILL LEAPDAY BE LIABLE TO ANY OTHER PARTY, INCLUDING ANY USER, FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, REGARDLESS OF THE NATURE OF THE CLAIM, INCLUDING LOST PROFITS, COSTS OF DELAY, ANY FAILURE OF DELIVERY, BUSINESS INTERRUPTION, COSTS OF LOST OR DAMAGED DATA OR LIABILITIES TO THIRD PARTIES ARISING FROM ANY SOURCE, EVEN IF LEAPDAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE CUMULATIVE LIABILITY OF LEAPDAY TO ANY OTHER PARTY, INCLUDING ANY USER, FOR ALL CLAIMS ARISING FROM OR RELATING TO THIS AGREEMENT, INCLUDING ANY CAUSE OF ACTION SOUNDING IN CONTRACT, TORT, OR STRICT LIABILITY, WILL NOT EXCEED THE FEES RECEIVED BY LEAPDAY FROM SUCH PARTY UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE DATE ON WHICH THE CLAIM AROSE.
